Terms of Service

These Terms of Service ("Terms") form a binding agreement between OPCLINE LTD ("OPCLINE", "we", "us") and the entity or individual agreeing to them ("you", "Customer"). They govern access to and use of Nalzio, our cloud-based analytics and reporting service for ecommerce and advertising performance. By creating an account, clicking to accept, or using Nalzio on behalf of an organisation, you represent that you have authority to bind that organisation and that you agree to these Terms.
1. The service
Nalzio provides tools to consolidate data from connected platforms (such as advertising and commerce systems you authorise), to report on spend, revenue, and profitability metrics, and related functionality we may add or modify. We deliver the service in accordance with your subscription plan and applicable documentation. Features may evolve; we will use commercially reasonable efforts to maintain service availability but do not guarantee uninterrupted or error-free operation.
2. Eligibility and accounts
Nalzio is intended for businesses and professionals. You must provide accurate registration information and keep it current. You are responsible for all activity under your account, for safeguarding credentials, and for the acts and omissions of users you invite. You must notify us promptly of any unauthorised use.
3. Integrations and third-party services
When you connect third-party platforms (for example Google Ads, TikTok, or Shopify), your use of those services remains subject to their respective terms and policies. You grant us permission to access and process data from those connections solely as needed to provide Nalzio. You represent that you have all rights and consents necessary for us to process that data on your behalf for the purposes described in our Privacy Policy.
4. Fees and payment
Paid plans, fees, taxes, billing cycles, and payment methods are set out at checkout, in an order form, or in your account. Unless otherwise stated, fees are exclusive of applicable taxes. Late payment may result in suspension of access. Except where required by law, fees are non-refundable. We may change pricing with reasonable advance notice in line with your agreement or applicable law.
5. Intellectual property
As between you and us, you retain all rights in your data. You grant us a non-exclusive licence to host, process, transmit, and display your data to provide and improve the service. We retain all rights in Nalzio, including software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the service during your subscription.
6. Confidentiality
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect such information and use it only for the purposes of these Terms, except as required by law.
7. Acceptable use
You will not: (i) misuse, interfere with, or disrupt the service; (ii) attempt to gain unauthorised access to systems or data; (iii) use the service to violate law or third-party rights; (iv) transmit malware or harmful code; or (v) reverse engineer the service except where legally permitted. We may suspend or terminate access for material breach or risk to the service or others.
8. Data protection
Our processing of personal data in connection with the service is described in our Privacy Policy. Where we process personal data on your behalf as a processor, we will comply with the data processing terms required by applicable law or a separate data processing agreement where applicable.
9. Disclaimers
To the maximum extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Metrics and reports are dependent on data supplied by you and third parties; we do not warrant that outputs will be error-free or match any third-party system exactly.
10. Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law. Subject to the foregoing, our total aggregate liability arising out of or related to the service in any twelve-month period is limited to the fees paid by you for the service in that period (or, if none, one hundred pounds sterling). We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, except where such exclusion is prohibited by law.
11. Indemnity
You will defend, indemnify, and hold harmless OPCLINE and its officers and directors from third-party claims, damages, and costs (including reasonable legal fees) arising from your data, your use of the service in breach of these Terms, or your violation of law or third-party rights, except to the extent caused by our wilful misconduct.
12. Term and termination
These Terms continue until terminated. You may stop using the service and close your account subject to your subscription terms. We may suspend or terminate access for breach, non-payment, or extended inactivity as permitted by law and your plan. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
13. Governing law and jurisdiction
Governing law: England and Wales. These Terms and any dispute or claim arising out of or in connection with them or the service shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that nothing prevents either party from seeking injunctive relief in any competent court where urgent protection of intellectual property or confidential information is required.
14. General
These Terms constitute the entire agreement between you and us regarding Nalzio and supersede prior understandings on the same subject. If any provision is held invalid, the remainder remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets. Notices to you may be sent to the email associated with your account.
